בפנייבקשהלמתןצוגילוימסמכיםבשלבשלפניהגשתבקשהלאישורתביעהנגזרת, לפיסעיף 198 אלחוקהחברות, תשנ"ט-1999 (להלן: "חוקהחברות"). המדוברבתביעהנגזרתאותההמבקשמעונייןלהגישבשםהמשיבה 2, חברתקו-אופישראל- רשתסופרמרקטיםבע"מ( להלן: "קו-אופ" אוהחברה"). קו-אופהנהחברהפרטיתבבעלותההמלאהשלהמשיבה 3, קו-אופישראלאגודהצרכניתשיתופיתבע"מ( להלן: "אגודתקו-אופ" או " האגודה"). אגודתקו-אופמונהכ-13,000 חברים, המחזיקיםבמניהאחתשלהאגודה, כלאחד. המבקש, מרקטל (להלן: "טל" או "המבקש"), הינובעלמניהשלהאגודה, חברמורשוןהאגודה( גוףהמהווהתחליףלאסיפההכלליתשלהאגודה, אשרחבריונבחריםבידיבעליהמניותאחתלארבעשניםו-25% מחבריוהינםעובדיהחברה) וכןחברמזכירותהאגודה ( המהווהאתה"ועד" המנהלשלהאגודה, שחבריהנבחריםאחתלארבעשניםבידימורשוןהאגודה); עדלחודשיוני 2013 ומזהכעשורשניםכיהןהמבקשכחברדירקטוריוןהחברה, מטעםהאגודה. לטענתושלהמבקש, מזהתקופהארוכהנפלופגמיםרביםבהתנהלותהחברהועומדותלהעילותתביעהכלפימספרנושאימשרהשכיהנוומכהניםבה, ובראשםהמשיב 3, עו"ד עופר פיינשטיין ( להלן: "פיינשטיין"), המכהןכמנכ"להחברהובעברכיהןבהכ"מנהלמיוחד" וכיועץמשפטי. כברבפתחהדבריםאומרכידיןהבקשהלהידחות, לאורחוסרתוםהלבהקיצוניהעומדביסודהולאורחוסרניקיוןכפיושלהמבקשבהגשתהבקשהובמסגרתניהולההליךבפניביתהמשפט. עיקריטענותהצדדים טלביקשמביתהמשפטליתןצוהמורהלחברהולאגודהלמסורלידיורשימהארוכהמאודשלמסמכיםהנוגעיםלפגמיםאשרנפלו, לטענתו, בהתנהלותהחברה.לתמיכהבבקשתולמתןצוגילויהמסמכיםוכתשתיתראייתיתראשוניתלתביעההנגזרתהאמורה, ביקשטללהצביעעלשורהשלפגמיםבהתנהלותהחברהועילותתביעההעומדותלה, אשרעיקרםכדלקמן: לטענתושלטל, שכרושלהמנכ"להקודםשלהחברה ( עדליום 31.12.2011) נקבעבניגודלדיןוללאאישורדירקטוריוןהחברה, אשראףלאנחשףב"זמןאמת" לגובההשכרששולם. משכך, טעןטל, עומדתלחברהעילתתביעהמבוססתנגדהמנכ"ללשעברונגדכלאחדמחברידירקטוריוןהחברהבתקופההרלוונטית, האחראיםאישיתלשכרהגבוהששולםללאאישורכדין. בשנת 2011 התגלואי-סדריםבאחתממחלקותהחברה.לטענתושלטל, חברידירקטוריוןהחברהופיינשטיין, שכיהןאזכיועץהמשפטישלהחברה, התנהלובדרךרשלניתואסורה, באשרלאניהלודיוןפתוח, מעמיקומקיףבנדון, ולאפעלולמיצויההליכיםכלפיהעובדיםהנוגעיםלאותהפרשייה. לטענתטל, במסגרתהליכיההבראהשעברההחברהבשנת 2011, מנכ"להחברההקודםופיינשטיין, בהיותוהיועץמשפטישלהחברהדאז, פעלובשםהחברהמולרשםהאגודותהשיתופיות, ללאאישוראוידיעתהדירקטוריוןוללאסמכותכדין.במסגרתזאת, טעןטל, הוחלטעלפרישתושלהמנכ"להקודםתוךהענקת "הסדרפרישהפנטסטי", כלשונו, וכןעלמינויושלפיינשטייןכמנהלמיוחדשלהחברה, מבלישנערךדיוןאושהתקבלההחלטהמסודרתבנדוןבידידירקטוריוןהחברה, שהתרשלוהתפרקמסמכותו. עלכן, טעןטלכיקיימתלחברהעילתתביעהנגדפיינשטייןונגדחברידירקטוריוןהחברה, אשרהפרואתחובותהאמוניםוהזהירותבההםחביםכלפיה. עודהוסיףוטעןטלכיבשלבמאוחריותרפיינשטיין " הפךעצמו" ממנהלמיוחדלמנכ"ל, תוךהטעייתהדירקטוריוןכימדוברבשינויסמנטיבלבדועלכן, עומדתלחברהעילתתביעהנגדפיינשטייןשמונהלתפקיד " במחטף", כמוגםנגדחבריהדירקטוריון, אשרפעלו " בהעדרהפעלתכלשיקולדעתוללאהבאתםבחשבוןשלהשיקוליםהרלוונטייםכנדרש". לטענתושלטל, יו"רדירקטוריוןהחברההקודם( עדלחודשאוגוסט 2012) סייםאתתפקידובחברהוזכהלהסכםפרישהנדיבוסודי, שלאביוזמתהדירקטוריוןוללאידיעתחבריואתתוכןההסכם. בכך, טעןטל, קיימתלחברהעילתתביעהנוספתנגדפיינשטייןונגדחבריהדירקטוריון. לטענתטל, פיינשטייןמינהוקידםאתמקורביולתפקידיםשוניםבחברה, לרבותהיועץהמשפטישלהחברהבמקומו, שנידירקטוריםחיצונייםויועץלעניינינדל"ן, תוךשהואמעניקלהםהטבותכספיותרבות, ללאסמכותוללאאישורהדירקטוריון, ובניגודלדין. עודהוסיףטלוטעןכיפיינשטייןעשהשימושפסולבכספיהחברה, במספרעניינים, לטובתוהאישית, ללאאישורהדירקטוריוןובניגודלדין. המשיביםהגישותגובהמפורטתומנומקתלבקשתושלטל, הןלגופהשלכלאחתמעילותהתביעהלכאורההנזכרותבהוהןביחסלרקעהעומדביסודהגשתהבקשהוטענותהסףהעומדותלהם.מאחרומצאתילנכוןלדחותאתהבקשהבשלחוסרתוםהלבוחוסרניקיוןהכפייםשביסודהומאחרמדוברבהליךמקדמישלבקשהלגילוימסמכיםלפיסעיף 198 אלחוקהחברות, הרישבמסגרתהחלטתיזואיןצורךלהרחיבולהכריעבדברטיעוניהמשיביםבנוגעלכלאחתמעילותהתביעהגופן. באשרלרקעהעומדביסודהגשתהבקשהבהעסקינן, לטענתהמשיבים, הבקשההוגשהבמסגרתמאבקאישי, אשרטלמנהלנגדהחברהוהנהלתהממניעיםאישייםולאחרשלאנבחרלכהונהנוספתבדירקטוריוןהחברה.לטענתהמשיבים, הבקשהדנןהוגשהבשיהוירבונגועהבחוסרתוםלבמובהק, שכןטלכיהןבמשךשניםרבותבמזכירותהאגודה, בדירקטוריוןהחברהובמספרועדותמשנהשלהדירקטוריון ( לרבותועדתביקורתוועדתכוחאדם), ובמסגרתתפקידיולאהתנגדולאהביעכלהסתייגותבאשרלאיזהמןה"פגמים" הנזכריםבבקשתו. למעשה, טענוהמשיבים, טלהסתירמביתהמשפטכיבכלהענייניםהנזכרים, אשרלגביהםנטעןלהתרשלותושלדירקטוריוןהחברה, נערךדיוןמפורטבדירקטוריוןבנוכחותו, כאשרהואתמךבכלההחלטותהנ"לולעיתיםאףבירך- לפרוטוקולושלאלפרוטוקול - עלקבלתן.יתרהמזאת, לטענתהמשיבים, טלהגישאתבקשתובחוסרניקיוןכפייםוצירףלהחלקיפרוטוקולים, קטועיםוערוכיםבצורהמגמתית, תוךשהואמסתיראתתמיכתובהחלטותהאמורות. עודהוסיפווטענוהמשיביםכיטלמבקשלנהלאתההליךתוךפגיעהבטובתהחברה.ביןהיתר, טענוהמשיביםכיטלהדליףלעיתונותאתמכתביולחברהואתבקשתודנן( שלושהימיםבטרםשהוגשהלביתהמשפט), תוךשבאלוכלוליםפרוטוקוליםשלדיוניםבדירקטוריוןהחברהומידעעסקיחסויופרטישלה, אשרפרסומםהסבלהנזק. מנגד, ישלציין, טלהעידבפניביתהמשפטכילאיצרקשרעםעיתונאיכזהאואחרביחסלהליךדנן, ביןבעצמווביןבאמצעותמימטעמו. מלבדזאת, טענוהמשיביםכיטל, למעשה, מעלהטענותבדברהתרשלותםשלחבריהדירקטוריוןעליהםהואנמנהולמעשהמבקשלנהלתביעהנגזרתבשםהחברהנגדעצמו. בדיוןשנערךבביתהמשפטביום 19.3.2014 ובסיכומיו, ביקשטללטעוןכיחרףהעובדהשתמךבהצבעתובכלאחתמןההחלטותהנזכרות, בקשתוהוגשהבתוםלבמוחלט.זאתהיותורקבדיעבדומשגילהמידענוסףהתחוורלודברהטעייתורשלנותהדירקטוריון, משהצליחלהשליםאת" הפאזל" ולראותאתהתרחשותםהכוללתשלהדברים. כמוכן, טלטעןכיישלקבלאתהבקשהלמרותהטענותבדברחוסרתום-ליבו, בשלהצורךלהגןעלבעליהמניותבאגודה, שאינםיכוליםלעמודעלזכויותיהם. דיוןוהכרעה סעיף 198 אלחוקהחברותמסדיראתסוגייתגילויהמסמכיםבמסגרתהתביעההנגזרתוקובעכדלקמן[ ההדגשהשלי - ח' כ']: "198א. (א) מישרשאילהגישתביעהנגזרתלפיסעיף 197, רשאילבקשמביתהמשפט, לפניהגשתהבקשהלאישורהתביעהאולאחרהגשתה, כייורהלחברהלגלותמסמכיםהנוגעיםלהליךאישורהתביעההנגזרת. טלתמךבאי-מיצויההליכיםכלפיהעובדיםשלקחוחלקבאי-הסדריםשנתגלובחברהוטיפולבעניינםבמישורהמשמעתי; טלתמךבדירקטוריוןהחברהבהחלטהעלסיוםהעסקתושלהמנכ"להקודם, בנסיבותהמקרהובאופןשבונתקבלה, וזאתלאחרשניהלשיחהאורכהעםהמנכ"להיוצאובירךעלהאופןבונסתיימוהדברים; טלהצביעבעדמינוישניהדח"ציםלחברהואףבירךעלכך, וכןהצביעבעדמינוי " יועץהנדל"ן" הנ"ל; ובאותואופן, מינויהיועץהמשפטילחברהנידוןבדירקטוריוןובנוכחותושלטליותרמפעםאחת, וטלמעולםלאהעלהכלטענהאותלונהבעניין. רקבתגובתולתגובתהמשיביםטלביקשלהעלותהסבריםלפערביןבקשתווביןהתנהלותובפועלוצייןכירקלאחרשקיבלמידענוסףיכולהיהלהשליםאת" הפאזל", בדיעבד. מלבדהעובדהשהסבריםאלוהועלורקבשלבמאוחרולאנזכרובבקשהשהוגשהלביתהמשפט, הםאינםמשכנעיםואיןבהםכדיליישבאתהסתירהביןבקשתווביןהתנהלותובמשךזמןכהרב. בקשתושלטלמציגהאתהדבריםבאופןמגמתיומטעה.כך, למשל, בעודשטלטעןכימינויושלפיינשטייןלמנהלמיוחדנעשה " במחטף" וללאהסכמתהאגודה, בזמןאמתובעתשהדברנידוןבדירקטוריוןהחברהדווקאהואפנהלפיינשטייןוציין: "אנימברךאותךעלהמינויהזהשקיבלתואתההבן-אדםהנכוןבזמןהנכון" (נספח 20 לתגובתהמשיבים). בסיכומיוביקשטללטעוןכידירקטוריוןהחברההוטעהלחשובכיהמינוינעשהבהחלטתרשםהאגודותהשיתופיות, בעודשהלכהלמעשהממכתבושלהרשםלחברהעולהכיהמינוינעשהלבקשתהאגודהשלאלמנותלהחשבמלווה.לטענתושלטל, פיינשטייןניהלמשאומתןמולהרשםבחוסרסמכותוהביאלמינויוכמנהלמיוחד.לעומתזאת, טענווהסבירוהמשיביםכירשםהאגודותביקשלמנותחשבמלווהחיצונישילווהאתהחברהבמסגרתהליךההבראהשעברה, אךלבסוףנעתרלבקשהלמנותמנהלמיוחדמקרבהבמקום.בישיבתהדירקטוריוןבהדווחעלהמינויצייןטלכלפיפיינשטייןמפורשות: "כוליתקווהבאמתכיאתהאחדמשלנוומהיותרטובשאחדמשלנומחזיקאתהנושאבידכחלקמההבראהמאשרהיהנוחתעלינופהמישהומבחוץואזלאהיינומדבריםכךהיום" (נספח 20 לתגובתהמשיבים). טל, אפוא, ידעאזומודעכעתכיההחלטהלמנותחשבמלווהלחברהאכןהייתההחלטתרשםהאגודותהשיתופיותואילוההצעהשהועלתההייתה( רק) למנותאתפיינשטייןכמנהלמיוחדחלףחשבמלווה - בקשהאשרטלשיבחובירךעלכךשהתקבלה. באשרלטענתושלטלבדברמינוייםשלשנידירקטוריםהחיצונייםלחברהבידיפיינשטייןומטעמו, תוךהטעייתהדירקטוריוןוללאסמכותאואישורכדין, המבקשלאצייןכיהצביעבעדשניהמינויים;
